In preparation for the sale, we analyze the business and its competitive environment to determine the most logical buyers based on business fit and the strategic rationale for the acquisition.
We value the business based on its likely performance under the ownership and management of the highest-valued strategic buyers. Our objective is to maximize sale price by identifying and working with buyers who are most likely to pay a premium price. Based on our findings and our client's preferences, we recommend a pricing strategy and procedures for the sale. We will implement a negotiated transaction which will create competition among buyers to maximize sale price.
We prepare a comprehensive offering memorandum that highlights the investment opportunity and its strategic and financial value to prospective purchasers.
We contact prospective buyers and qualify their interest. Most important, we manage the sale process in all respects, by controlling the distribution of information, responding to questions, coordinating visits to facilities and meetings with management, managing the data room, and assisting buyers in preparing initial offers or letters of intent. Our experience in managing the sale process not only results in the highest possible price but also enables management to use its time more productively.
We evaluate alternative offers, including any financing contingencies, and assist in negotiating terms and conditions. At our client's request, we will serve as lead negotiator. We provide all supervision required through the contract stage and assist with all matters that pertain to closing. In short, our commitment to our client does not end until the transaction closes.
